Sharey, Inc. Business Subscription Terms and Conditions

These Business Subscription Terms and Conditions (these “Business Terms”) govern access to and use of Sharey by restaurants and other businesses, including any business profile, menu listing, subscription, analytics, rewards, or promotional features made available through the Sharey mobile application, joinsharey.com, and shareymenus.com (collectively, the “Services”). These Business Terms are entered into by and between Sharey, Inc., a Delaware corporation (“Company,” “Sharey,” “us,” “our,” or “we”), and the business entity or individual accessing the Services on behalf of a business (“Business,” “you,” or “your”).

These Business Terms supplement and are incorporated into the Sharey Terms of Service (the “Consumer Terms”). In the event of any conflict between these Business Terms and the Consumer Terms, these Business Terms shall control with respect to business use of the Services.

By creating, claiming, managing, or paying for a business listing or subscription, you represent and warrant that you are authorized to act on behalf of the Business and bind it to these Business Terms. If you do not have such authority, or if you do not agree with these Business Terms, you may not access or use the Services on behalf of the Business.

PLEASE BE AWARE THAT THE CONSUMER TERMS CONTAIN PROVISIONS GOVERNING HOW TO RESOLVE DISPUTES BETWEEN YOU AND COMPANY, INCLUDING AN AGREEMENT TO ARBITRATE, A CLASS ACTION WAIVER, AND A JURY TRIAL WAIVER. BY ACCEPTING THESE BUSINESS TERMS, YOU AGREE TO BE BOUND BY THOSE PROVISIONS. PLEASE READ THE DISPUTE RESOLUTION SECTION OF THE CONSUMER TERMS CAREFULLY.

1. COMPANY INFORMATION AND PLATFORM ROLE

1.1 Company Information.

Sharey, Inc. is a Delaware corporation with its registered agent at c/o Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, Delaware 19713.

1.2 Platform Role.

Sharey operates a software platform and marketplace for menu display, menu discovery, analytics, and optional promotional tools. Sharey is not a restaurant operator, food provider, advertiser, marketing agency, public relations firm, or legal advisor. Sharey acts solely as a technology platform provider.

1.3 Independent Contractor Relationship.

Nothing in these Business Terms creates an employment relationship, partnership, joint venture, agency, fiduciary duty, or representative relationship between Sharey and any Business. Each party is an independent contractor, and neither party has authority to bind the other or incur obligations on the other’s behalf.

2. USER-REQUESTED BUSINESS AND MENU LISTINGS

2.1 User Requests.

Sharey allows consumers and users to request the addition of restaurant menus and business listings to shareymenus.com as part of its menu discovery platform. When a user requests a menu or listing, Sharey may create a provisional listing using information provided by the user or obtained from publicly available sources.

2.2 Notification and Claiming.

Sharey may notify the Business that a listing has been requested and invite the Business to claim, verify, or manage the listing. Businesses will be given a period of thirty (30) days from notification to confirm whether they wish to maintain, claim, or manage the listing.

2.3 Unclaimed Listings.

If a Business does not respond within the thirty (30) day period, Sharey may, at its sole discretion: (i) maintain the listing as an unclaimed or limited listing; (ii) modify the listing; or (iii) remove the listing entirely. Sharey does not guarantee that any requested or provisional listing will remain available.

3. FREE MENU LISTING PLAN

3.1 Availability.

Sharey may offer a free plan that allows Businesses to have a menu listed on shareymenus.com at no charge.

3.2 Free Plan Features.

Under the free plan: (i) Sharey may display the Business name, location, menu items, prices, photos, and descriptive information; (ii) information may come from the Business, users, or publicly available sources; (iii) Sharey does not guarantee accuracy, completeness, traffic, ranking, or visibility; and (iv) free listings do not include analytics reports, rewards budgets, Instagram multipliers, promotional placement, or guaranteed updates.

3.3 Modification or Discontinuation.

Sharey may modify, limit, or discontinue free listings at any time without notice or liability.

4. SUBSCRIPTION PLANS AND FEATURES

4.1 Available Plans.

Paid subscription plans include Starter, Growth, Pro, or other tiers as described on Sharey’s website or in a sales proposal. Current pricing is as follows, subject to change:

Starter Plan ($20/month): Listing on the Sharey rewards app; listing on shareymenus.com with automatic weekly updates; approximately $10 in points distributed to real diners (approximately 1,000 points).

Growth Plan ($50/month): Everything in the Starter plan; Instagram Story sharing multiplier enabled; approximately $30 in points distributed to real diners (approximately 3,000 points).

Pro Plan ($100/month): Everything in the Growth plan; 2x reward rates per photo relative to base rewards; approximately $70 in points distributed to real diners (approximately 7,000 points).

4.2 No Guaranteed Outcomes.

Subscription fees provide access to platform features only. Sharey does not guarantee customer visits, sales, engagement, reach, reviews, revenue, marketing outcomes, or any specific return on investment. Any estimates, projections, or examples provided in marketing materials or sales conversations are illustrative only and do not constitute guarantees.

4.3 Feature Modifications.

Sharey may modify plan features over time, including adding new tools such as additional rewards, challenges, promotions, or analytics, or removing or modifying features, without creating any obligation to maintain a specific configuration indefinitely. Sharey will use reasonable efforts to notify Businesses of material changes to their subscription plan features.

5. SELECTIVE THREE-MONTH TRIAL PERIOD

5.1 Trial Availability.

A three-month trial on the Growth plan is offered only to select early partner Businesses at Sharey’s sole discretion.

5.2 Trial Terms.

During the trial period: (i) no subscription fees are charged; (ii) trial access is limited to the features described at onboarding; (iii) features are provided as-is and may change during the trial; and (iv) Sharey may end a trial early for misuse, fraud, policy violations, or platform risk.

5.3 Post-Trial Conversion.

At the end of the trial, the Business will be invited to opt in to a paid subscription. No payment method is charged unless the Business affirmatively opts in. If the Business does not opt in, the account may revert to a free plan or limited functionality.

6. BILLING, PAYMENTS, AND AUTOMATIC RENEWAL

6.1 Payment Processing.

Payments are processed through Sharey’s website checkout or through invoice links issued via Stripe. By subscribing, Businesses authorize Sharey to charge applicable fees through Stripe upon opt-in.

6.2 Billing Cycle.

Subscription fees are billed monthly in advance unless otherwise stated. Fees are non-refundable except as expressly provided in these Business Terms or as required by applicable law.

6.3 Automatic Renewal.

Subscriptions automatically renew on a month-to-month basis at the then-current subscription rate until cancelled. You authorize Sharey to charge the applicable subscription fee to your designated payment method at the beginning of each renewal period.

6.4 Cancellation.

You may cancel your subscription at any time through your account settings or by contacting support@joinsharey.com. Cancellation will be effective at the end of the current billing period. There is no minimum subscription term and no early termination fees. Upon cancellation, you will retain access to paid features until the end of your current billing period, after which your account will revert to a free plan or limited functionality.

6.5 Suspension for Non-Payment.

Sharey may suspend or terminate access for non-payment. If payment fails, Sharey may attempt to charge the payment method on file again and may suspend access to paid features until payment is successfully processed.

6.6 Taxes.

All subscription fees quoted or displayed on the Services are inclusive of applicable taxes. Sharey uses automated tax calculation tools to determine and collect applicable sales, use, or similar taxes at checkout as required by applicable law. Tax obligations and applicable rates may change as Sharey expands its operations and as applicable law evolves.

7. BUSINESS CONTENT AND LICENSE GRANT

7.1 Business Content.

“Business Content” means any and all information and content that a Business submits to, or uses with, the Services, including but not limited to logos, trademarks, trade names, menu information, pricing, photos, descriptions, hours of operation, and other business information.

7.2 License Grant to Sharey.

You hereby grant (and you represent and warrant that you have the right to grant) to Sharey an irrevocable, nonexclusive, royalty-free and fully paid, worldwide license to reproduce, distribute, publicly display and perform, prepare derivative works of, incorporate into other works, and otherwise use and exploit your Business Content, and to grant sublicenses of the foregoing rights, for purposes related to operating, improving, marketing, and expanding the Services and Sharey’s business, including but not limited to: displaying Business Content on menus, listings, and promotional materials; reorganizing, aggregating, or curating Business Content across the platform; and using Business Content for data analysis, machine learning, artificial intelligence model training and improvement, and the development of new features or services.

7.3 Representations Regarding Business Content.

You represent and warrant that: (i) you own or have the necessary rights, licenses, and permissions to grant the license set forth above; (ii) your Business Content does not infringe, misappropriate, or violate any third party’s intellectual property rights, rights of publicity or privacy, or other proprietary rights; and (iii) your Business Content complies with all applicable laws and regulations.

8. USER-GENERATED CONTENT ON BUSINESS LISTINGS

8.1 User Content Display.

User-generated photos and content may appear on Business menus or profiles as part of the Services. Sharey does not endorse, verify, or guarantee the accuracy of user opinions, ratings, or depictions. Sharey’s priority is to display first-party visual content submitted directly through the Services by users. In limited circumstances, Sharey may supplement Business listings with content sourced from authorized third-party platforms or APIs, solely where such use is expressly permitted under the applicable platform’s terms of service. Sharey has no control over whether a user who submits content through the Services has also independently posted the same content on other platforms, and Sharey does not accept responsibility for claims arising from such independent user decisions. If a Business believes any content displayed on its listing infringes third-party rights or was sourced in violation of a third-party platform’s terms, the Business may submit a removal request as described in Section 8.2.

8.2 Content Modification and Takedown Requests.

Businesses may request takedowns or modifications of user-generated content by: (i) contacting moderation@joinsharey.com; (ii) contacting their assigned sales representative; or (iii) contacting Sharey management through provided business channels. Sharey will use reasonable efforts to work collaboratively and resolve issues promptly but does not guarantee removal in all circumstances, including where retention is required for legal, safety, fraud prevention, or operational reasons.

8.3 Photo Download and Reuse by Business.

Through the Business portal, subscribers may download User Content displayed on their menu listing for use in their own marketing and promotional materials, pursuant to the sublicense described in Section 4.3 of the Consumer Terms. Such use is subject to the following conditions: (i) downloaded User Content may only be used for the Business’s own marketing, menu display, and promotional purposes and may not be transferred, sold, or sublicensed to any third party; (ii) Business is solely responsible for ensuring that all use of downloaded User Content complies with applicable laws, third-party intellectual property rights, and any applicable advertising or disclosure requirements; and (iii) Sharey expressly disclaims any liability arising from Business’s use of downloaded User Content outside of the Sharey platform. Sharey does not represent or warrant that User Content is free of third-party claims, and Business assumes all risk associated with its downstream use of such content.

9. DATA ACCESS, EXPORTS, AND RETENTION

9.1 Data Access.

Businesses may access and export analytics and performance data made available through the platform, subject to technical limitations and the features included in their subscription plan.

9.2 Data Retention Upon Termination.

Upon termination or cancellation: (i) Business-provided personal data will be deleted in accordance with Sharey’s Privacy Policy; (ii) aggregated, anonymized, platform-generated, and user-contributed data may be retained by Sharey for operational, analytical, legal, or product improvement purposes; and (iii) user-generated content associated with menus may remain on the platform.

9.3 Confidentiality.

Each party agrees to maintain the confidentiality of any non-public information disclosed by the other party in connection with these Business Terms, including but not limited to pricing, analytics data, business strategies, and proprietary platform information. This confidentiality obligation does not apply to information that: (i) is or becomes publicly available through no fault of the receiving party; (ii) was rightfully known to the receiving party prior to disclosure; (iii) is rightfully obtained from a third party without restriction; or (iv) is required to be disclosed by law.

10. BUSINESS REPRESENTATIONS AND WARRANTIES

You represent and warrant that:

(i) You have the legal authority to enter into these Business Terms and to bind the Business to these Business Terms;

(ii) The Business is a legally formed and validly existing entity in good standing under the laws of its jurisdiction of formation, or you are an individual with the legal capacity to enter into binding agreements;

(iii) The Business holds all licenses, permits, and authorizations required to operate its business, including but not limited to food service licenses, health permits, and business licenses;

(iv) The Business complies with all applicable laws and regulations, including but not limited to health and safety codes, food safety regulations, labor laws, and consumer protection laws;

(v) All information provided to Sharey in connection with these Business Terms is accurate and complete; and

(vi) Your use of the Services will not violate any applicable law, regulation, or third-party rights.

11. MENU ACCURACY, ALLERGENS, AND CUSTOMER NOTICE

11.1 Business Responsibility.

Businesses are solely responsible for: (i) menu accuracy; (ii) prices; (iii) ingredients; (iv) allergens; (v) dietary claims; and (vi) item availability. Sharey does not verify allergens, dietary restrictions, nutritional information, or any other food-related claims.

11.2 Customer Notice.

Users are explicitly instructed through the Services to confirm allergen and dietary information directly with the restaurant before ordering or consuming food. Businesses acknowledge that this notice does not relieve them of their independent legal obligations regarding allergen disclosure and food safety.

12. NO RESPONSIBILITY FOR RESTAURANT SERVICES

Sharey has no responsibility for: (i) food preparation; (ii) food quality or safety; (iii) health code compliance; (iv) customer service; (v) refunds or credits; (vi) customer complaints; (vii) injuries, illness, or allergic reactions; or (viii) regulatory violations. All such matters are solely between the Business and its customers. The Business agrees to handle all customer complaints, refund requests, and food-related issues directly.

13. INSURANCE

Each party is expected to maintain appropriate business insurance coverage, including general commercial liability insurance and any insurance required by applicable law. Sharey does not verify or monitor Business insurance coverage, and the Business is solely responsible for ensuring adequate coverage for its operations.

14. INDEMNIFICATION

14.1 Indemnification by Business.

You agree to indemnify, defend, and hold harmless Sharey (and its officers, directors, employees, contractors, agents, affiliates, and representatives) from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or relating to: (i) your use of the Services; (ii) your violation of these Business Terms or the Consumer Terms; (iii) your violation of applicable laws or regulations; (iv) your Business Content; (v) your violation of any third-party rights, including intellectual property rights; (vi) any claims related to menu inaccuracies, allergens, dietary disclosures, food safety, or food quality; (vii) any claims by your customers, employees, or other third parties arising out of your business operations; and (viii) any taxes, penalties, or interest arising from your failure to comply with tax obligations related to your use of the Services.

14.2 Indemnification Procedures.

Sharey reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of these claims. You agree not to settle any matter without the prior written consent of Sharey. Sharey will use reasonable efforts to notify you of any such claim, action, or proceeding upon becoming aware of it.

15. NON-DEFAMATION, NON-DISPARAGEMENT, AND RELEASE

15.1 Platform Presentation.

Sharey does not make factual claims regarding food quality, safety, allergens, service, or business practices. Businesses agree not to assert claims against Sharey for defamation, libel, trade libel, or disparagement arising from user-generated content, rankings, visibility, analytics, or platform presentation, except where required by applicable law.

15.2 Mutual Release.

You hereby release and forever discharge Sharey (and its officers, employees, agents, successors, and assigns) from, and hereby waive and relinquish, each and every past, present, and future dispute, claim, controversy, demand, right, obligation, liability, action, and cause of action of every kind and nature (including personal injuries, death, and property damage), that has arisen or arises directly or indirectly out of, or that relates directly or indirectly to, the Services (including any interactions with, or act or omission of, users, customers, or any third parties). IF YOU ARE A CALIFORNIA RESIDENT, YOU HEREBY WAIVE CALIFORNIA CIVIL CODE SECTION 1542 IN CONNECTION WITH THE FOREGOING, WHICH STATES: “A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE CREDITOR OR RELEASING PARTY DOES NOT KNOW OR SUSPECT TO EXIST IN HIS OR HER FAVOR AT THE TIME OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM OR HER MUST HAVE MATERIALLY AFFECTED HIS OR HER SETTLEMENT WITH THE DEBTOR OR RELEASED PARTY.”

16. DISCLAIMERS

THE SERVICES ARE PROVIDED ON AN “AS-IS” AND “AS AVAILABLE” BASIS, AND SHAREY (AND ITS SUPPLIERS) EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING ALL WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, OR NON-INFRINGEMENT. SHAREY (AND ITS SUPPLIERS) MAKES NO WARRANTY THAT THE SERVICES WILL MEET YOUR REQUIREMENTS, WILL BE AVAILABLE ON AN UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE BASIS, OR WILL BE ACCURATE, RELIABLE, FREE OF VIRUSES OR OTHER HARMFUL CODE, COMPLETE, LEGAL, OR SAFE. IF APPLICABLE LAW REQUIRES ANY WARRANTIES WITH RESPECT TO THE SERVICES, ALL SUCH WARRANTIES ARE LIMITED IN DURATION TO 90 DAYS FROM THE DATE OF FIRST USE.

SHAREY DOES NOT GUARANTEE ANY SPECIFIC RESULTS FROM USE OF THE SERVICES, INCLUDING BUT NOT LIMITED TO CUSTOMER VISITS, SALES, REVENUE, ENGAGEMENT, REVIEWS, RANKINGS, VISIBILITY, OR MARKETING OUTCOMES. ANY ESTIMATES, PROJECTIONS, OR EXAMPLES PROVIDED ARE ILLUSTRATIVE ONLY AND DO NOT CONSTITUTE GUARANTEES.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO THE ABOVE EXCLUSION MAY NOT APPLY TO YOU. SOME JURISDICTIONS DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU.

17. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL SHAREY (OR ITS SUPPLIERS) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, COSTS OF PROCUREMENT OF SUBSTITUTE PRODUCTS OR SERVICES, OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATING TO THESE BUSINESS TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICES, EVEN IF SHAREY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. ACCESS TO, AND USE OF, THE SERVICES IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR SYSTEMS OR LOSS OF DATA RESULTING THEREFROM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, SHAREY’S LIABILITY TO YOU FOR ANY DAMAGES ARISING FROM OR RELATED TO THESE BUSINESS TERMS (FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION), WILL AT ALL TIMES BE LIMITED TO THE GREATER OF (A) FIFTY US DOLLARS ($50.00) OR (B) THE AMOUNTS PAID BY YOU TO SHAREY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. THE EXISTENCE OF MORE THAN ONE CLAIM WILL NOT ENLARGE THIS LIMIT. YOU AGREE THAT SHAREY’S SUPPLIERS WILL HAVE NO LIABILITY OF ANY KIND ARISING FROM OR RELATING TO THESE BUSINESS TERMS.

SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU.

18. TERM AND TERMINATION

18.1 Term.

These Business Terms will remain in full force and effect while you use the Services or maintain an Account.

18.2 Termination by Business.

You may terminate these Business Terms at any time by cancelling your subscription (if applicable) and ceasing use of the Services. You may delete your Business Account by following the instructions in the Services or by contacting support@joinsharey.com.

18.3 Termination by Sharey.

Sharey may suspend or terminate your rights to use the Services (including your Account) at any time for any reason at its sole discretion, including for any use of the Services in violation of these Business Terms, fraud, abuse, non-payment, or risk. Sharey will use reasonable efforts to provide notice before termination, except where termination is due to fraud, abuse, or legal requirements.

18.4 Effect of Termination.

Upon termination: (i) your right to access and use the Services will terminate immediately; (ii) you will not be entitled to any refund of fees paid; (iii) Sharey may delete your Business Content from its live databases; and (iv) aggregated, anonymized, and user-generated content may be retained as set forth in Section 9.2. Sharey will not have any liability whatsoever to you for any termination of your rights under these Business Terms.

18.5 Survival.

Even after these Business Terms are terminated, the following provisions will remain in effect: Sections 7.2, 9.2, 9.3, 14, 15, 16, 17, 18.4, 18.5, 19, and 20.

19. DISPUTE RESOLUTION AND GOVERNING LAW

19.1 Incorporation of Consumer Terms.

All disputes arising out of or relating to these Business Terms are governed by the arbitration agreement, class action waiver, and dispute resolution provisions in the Sharey Consumer Terms of Service, which are incorporated by reference into these Business Terms.

19.2 Governing Law.

These Business Terms are governed by the Federal Arbitration Act and, to the extent not preempted, the laws of the State of Delaware, without regard to conflict of law principles.

19.3 No Reliance.

Businesses acknowledge that they are not relying on any statements, projections, estimates, or representations regarding performance, traffic, revenue, or results, whether made by sales representatives, marketing materials, demonstrations, or otherwise. Businesses have conducted their own independent evaluation of the Services and enter into these Business Terms based solely on that evaluation and the terms expressly set forth herein.

20. GENERAL PROVISIONS

20.1 Changes to Business Terms.

These Business Terms may be updated from time to time, including in connection with the launch of new features, payments, or additional monetization features. Sharey will notify you of material changes by email or through the Services. Continued use of the Services after changes become effective constitutes acceptance of the updated Business Terms. If you do not agree to the updated Business Terms, you must stop using the Services.

20.2 Entire Agreement.

These Business Terms, together with the Consumer Terms and any additional terms agreed to in writing, constitute the entire agreement between you and Sharey regarding your business use of the Services. These Business Terms supersede all prior or contemporaneous communications, representations, or agreements, whether oral or written, regarding the subject matter hereof.

20.3 Severability.

If any provision of these Business Terms is, for any reason, held to be invalid or unenforceable, the other provisions of these Business Terms will be unimpaired and the invalid or unenforceable provision will be deemed modified so that it is valid and enforceable to the maximum extent permitted by law.

20.4 Assignment.

These Business Terms, and your rights and obligations herein, may not be assigned, subcontracted, delegated, or otherwise transferred by you without Sharey’s prior written consent, and any attempted assignment, subcontract, delegation, or transfer in violation of the foregoing will be null and void. Sharey may freely assign these Business Terms. The terms and conditions set forth in these Business Terms shall be binding upon assignees.

20.5 Notices.

All notices to Sharey under these Business Terms should be sent to legal@joinsharey.com or by mail to: Sharey, Inc., c/o Legalinc Corporate Services Inc., 131 Continental Dr, Suite 305, Newark, Delaware 19713. Notices to you may be sent to the email address associated with your Account.

20.6 Waiver.

The failure of Sharey to exercise or enforce any right or provision of these Business Terms shall not operate as a waiver of such right or provision.
