These Business Terms (these "Business Terms") govern your access to and use of Sharey’s business-facing features, including business profiles, menu listings, subscriptions, analytics, rewards, and promotional features made available through the websites located at joinsharey.com and shareymenus.com, and the Sharey mobile applications (collectively, the "Services").

These Business Terms are in addition to, and incorporate by reference, the Sharey, Inc. Terms of Service and related policies that govern use of the Services (the "Sharey Terms"). If there is any conflict between these Business Terms and the Sharey Terms, these Business Terms control for business use. Capitalized terms used but not defined in these Business Terms have the meanings set forth in the Sharey Terms.

By creating, accessing, claiming, managing, listing, or subscribing on behalf of a business, you represent and warrant that you have the authority to act on behalf of the business and bind it to these Business Terms.

Sharey, Inc. is a Delaware corporation. Sharey provides a software platform and marketplace for menu display, menu discovery, analytics, and optional promotional tools. Sharey is not a restaurant operator, food provider, delivery service, advertiser, marketing agency, public relations firm, or legal advisor. Nothing in these Business Terms creates an employment relationship, partnership, joint venture, agency, fiduciary duty, or representative relationship between Sharey and any business.

PLEASE READ THESE BUSINESS TERMS CAREFULLY. Dispute resolution for business claims is governed by the arbitration and class action waiver provisions in the Sharey Terms, which are incorporated by reference.


1. Requirements, Representations, and Warranties

In order to access or use business features of the Services, you agree that:

  • You have the authority to act on behalf of the business or businesses associated with or claimed through your account and bind such business (your "Business") to these Business Terms.
  • Your access to and use of the Services will be only in your capacity as an authorized representative of your Business.
  • You will provide accurate information about your Business and keep such information up to date.
  • Your Business complies with applicable laws and does not offer, advertise, sell, or provide illegal products or services through the Services.
  • You will not use the Services to interfere with, abuse, disrupt, reverse engineer, scrape, or extract data from the Services except as expressly permitted by Sharey in writing.
  • You will not misrepresent your identity or your affiliation with any Business.

2. User Requested Menus, Provisional Listings, and Confirmation Window

The Services may allow consumers and users to request that a restaurant menu or Business listing be added to shareymenus.com as part of Sharey’s menu discovery platform. When a user requests a menu or listing, Sharey may create a provisional listing using information provided by the user or obtained from publicly available sources.

If Sharey contacts you regarding a requested or provisional listing, Sharey will provide your Business with a period of thirty (30) days to confirm whether you want the listing to remain active, and to verify or provide menu information. This confirmation window is intended to reduce inaccurate menus and to help ensure the listing reflects what you want customers to see.

If Sharey does not receive confirmation within thirty (30) days, Sharey may, in its discretion, keep the listing as unclaimed or limited, modify it, or remove it entirely. Sharey does not guarantee that any requested or provisional listing will remain available.

3. Free Menu Listing Plan

Sharey may offer a free plan that allows Businesses to have a menu listed on shareymenus.com at no cost. Under the free plan, Sharey may display Business names, locations, menu items, prices, photos, and descriptive information. Information may be obtained from your Business, from users, or from publicly available sources.

Sharey does not guarantee accuracy, completeness, traffic, ranking, search placement, visibility, or outcomes. Free listings do not include analytics reports, rewards budgets, Instagram multipliers, promotional placement, or guaranteed update frequency.

Sharey may modify or discontinue free listings at any time. Where reasonable, Sharey will use good faith efforts to provide notice of material changes, but Sharey is not required to do so.

4. Subscription Plans and Features

Sharey may offer paid subscription plans (for example, "Starter," "Growth," and "Pro") as described on Sharey’s website, in the Services, or in an invoice, order form, or sales proposal. Subscription fees provide access to platform features and tools only. Sharey does not guarantee customer visits, sales, engagement, reach, reviews, revenue, or marketing outcomes.

The Services may evolve over time. Sharey may add, remove, or modify features, including additional rewards offers, challenges, promotions, analytics, or other tools. Sharey is not obligated to maintain any specific feature set indefinitely.

5. Selective Three Month Trial

A three-month trial may be offered only to select Businesses at Sharey’s discretion. During the trial, Sharey may provide access to certain plan features as described at onboarding. Trial features are provided on an as-is basis and may change during the trial.

At the end of the trial, your Business will be asked whether it wishes to opt in to a paid subscription. Your Business will not be charged unless it affirmatively opts in. If your Business does not opt in, your account may revert to a free plan or limited functionality.

Sharey may end a trial early if Sharey reasonably believes there is misuse, fraud, policy violations, or platform risk.

6. Billing, Payments, Cancellation, and Refunds

Payments are made through Sharey’s website checkout or through invoice links issued via Stripe. Subscriptions are billed monthly in advance unless otherwise stated. By opting into a paid subscription, you authorize Sharey to charge applicable fees through Stripe.

You may cancel at any time. Cancellation will prevent future billing, and you will generally retain access through the end of the then-current paid billing period, unless Sharey terminates for cause as permitted by these Business Terms.

Refunds are not guaranteed. However, Sharey understands that restaurants and small businesses operate in the real world, and prorated refunds may be provided on a case-by-case basis at Sharey’s discretion depending on the circumstances, usage, and timing. If something is not working, you can contact your sales representative or Sharey management and Sharey will work with you in good faith to address the issue.

Note: These Business Terms may be updated when payments expand or additional payment features launch, and Sharey may require acceptance of updated terms as a condition of continued paid use.

7. Menu Accuracy, Allergens, and Customer Notice

Your Business is solely responsible for menu accuracy, prices, ingredients, allergens, dietary claims, and item availability. Menus change frequently and Sharey cannot verify allergens or dietary restrictions.

Sharey encourages users to confirm allergen and dietary information directly with the restaurant before ordering or consuming food. You agree that your Business is responsible for handling allergen and dietary inquiries and for maintaining accurate information.

8. Content, Takedowns, and Issue Resolution

The Services may display user-generated content (including photos, labels, text, and other submissions) related to menus and restaurant discovery. Sharey does not endorse user opinions and does not act as the speaker of user-generated content.

If you want content removed, corrected, or updated, you may contact moderation@joinsharey.com, your sales representative, or Sharey management through the contact methods provided to you. Sharey will use best efforts to work collaboratively and resolve issues promptly.

Sharey cannot guarantee removal in all circumstances, including where retention is necessary for legal compliance, safety, fraud prevention, dispute resolution, or operational reasons.

9. Licenses and Permitted Uses of Business Content and Data

"Business Content" means content you provide to Sharey in connection with your Business listing or subscription, such as menu text, item names, descriptions, prices, hours, location details, logos, brand assets, and Business provided photos or materials.

You grant Sharey a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, adapt (for technical display), translate (if needed), publish, display, and distribute Business Content as reasonably necessary to operate, provide, maintain, market, and improve the Services, including displaying your menu and listing across Sharey surfaces, creating structured machine-readable menu data to support search and discovery, and providing analytics and reporting to you.

Sharey may also use menu structure and menu data to improve the Services and develop new features, including potential future model training and product improvements that rely on menu structure and menu data. If you want your Business Content deleted, you can request deletion at any time as described below.

Sharey may use service providers (including hosting, analytics, and payments providers) to deliver the Services, and you authorize Sharey to share Business Content with those providers solely as needed to operate and improve the Services.

10. Data Access, Exports, Retention, and Deletion Requests

You may access and export analytics and performance data made available through the platform, subject to technical limitations.

Upon cancellation or termination:

  • Sharey will delete Business provided personal data in accordance with Sharey’s Privacy Policy.
  • Sharey may retain aggregated, anonymized, platform-generated data, and user-contributed content associated with menus for operational, analytical, legal, safety, fraud prevention, and product improvement purposes.
  • You may request deletion of Business Content at any time by contacting moderation@joinsharey.com, your sales representative, or Sharey management. Sharey will use reasonable efforts to honor deletion requests, subject to limited retention needs for legal compliance, safety, fraud prevention, dispute resolution, and operational purposes.

11. Confidentiality

Each party may receive non-public information about the other in connection with the Services, such as pricing not publicly posted, non-public roadmap items shared in confidence, or non-public dashboard details. Each party agrees to use reasonable care to protect the other party’s non-public confidential information and not to disclose it to third parties except to employees, contractors, and professional advisors who need to know it for purposes of the relationship and who are bound by confidentiality obligations.

Confidentiality does not apply to information that is publicly available, independently developed without use of the confidential information, or required to be disclosed by law.

12. Disclaimers and Limitation of Liability

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, AND SHAREY DISCLAIMS ALL WARRANTIES TO THE MAXIMUM EXTENT PERMITTED BY LAW, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

SHAREY DOES NOT GUARANTEE MENU ACCURACY, ITEM AVAILABILITY, PRICING ACCURACY, DIETARY ACCURACY, CUSTOMER OUTCOMES, OR ANY PARTICULAR BUSINESS RESULT.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREY IS NOT LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST DATA, OR REPUTATIONAL HARM.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHAREY’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE BUSINESS TERMS OR THE SERVICES IS LIMITED TO THE GREATER OF FIFTY DOLLARS ($50) OR THE TOTAL AMOUNTS PAID BY YOU TO SHAREY IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

13. Indemnification (With Carve Outs)

You agree to indemnify and hold Sharey and its officers, directors, employees, and agents harmless from any third-party claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: a. your Business operations, food preparation, service, compliance, or customer interactions; b. your menu accuracy, ingredient lists, allergens, dietary claims, item availability, or pricing; c. your breach of these Business Terms or applicable law; or d. Business Content you provide to the Services.

Carve out: You are not responsible to indemnify Sharey to the extent a third-party claim is caused by Sharey’s gross negligence or willful misconduct.

14. No Reliance

You acknowledge and agree that you are not relying on any statements, projections, estimates, demonstrations, or representations regarding performance, traffic, revenue, or results, whether made by Sharey personnel, sales representatives, marketing materials, or otherwise. Subscription fees provide access to platform features only and do not guarantee outcomes.

15. User Content, Non Defamation Posture, and Mutual Release

Sharey allows users to submit content about restaurants and menus. Sharey is a platform and does not act as the publisher or speaker of user-generated content. If you believe user content is inaccurate, harmful, or inappropriate, your primary path is to request a takedown or correction through the channels described in Section 8.

To the maximum extent permitted by law, you agree not to assert claims against Sharey for defamation, libel, trade libel, or disparagement based on user-generated content, or Sharey’s good faith formatting, organization, or display of menu-related information. This does not limit any rights you may have against the user who created content, and it does not limit Sharey’s willingness to work with you to resolve issues quickly.

Mutual release: To the maximum extent permitted by law, each party releases the other from claims arising out of or related to user-generated content or customer interactions facilitated by the Services, except for claims that cannot be waived under applicable law.

16. Dispute Resolution and Governing Law

Disputes and claims relating to these Business Terms or the Services are governed by the dispute resolution and arbitration provisions in the Sharey Terms, which are incorporated by reference, including the class action waiver and jury trial waiver.

These Business Terms are governed by Delaware law to the extent not preempted by federal law.

17. Termination

You may stop using the Services at any time and may cancel subscriptions as described in Section 6. Sharey may suspend or terminate access for non-payment, misuse, fraud, policy violations, legal risk, or platform integrity concerns.

After termination, Sharey may remove Business managed content from editable views and may retain certain data and user-contributed content as described in Section 10.

18. Changes to These Business Terms

Sharey may update these Business Terms from time to time, including as payments expand, new paid features launch, or the platform evolves. Continued use of the Services after changes become effective constitutes acceptance of the updated Business Terms.
